Cloudbridge User Terms

Version 2026-11. Replaces the End User License Agreement (EULA), version 2026-03, for each User who accepts these User Terms. A User who accepted the EULA before these User Terms were published continues to use the Platform under the EULA until that User accepts these User Terms, for example when activating a feature that requires it.

    1. Who these terms apply to

1.1 Users. These User Terms apply to every individual who signs in to Cloudbridge, the Gridheart Platform at cloudbridge.gridheart.com, as a User of a partner organisation of Gridheart AB, reg. no. 556779-9209 ("Gridheart"). Users who sign in to the customer portal on behalf of a partner's customer are covered by the separate Customer Portal User Terms instead. Gridheart's own personnel use the Platform under their terms of employment, and Sections 2 to 5 also apply to them.

1.2 Your organisation's agreement. Your organisation's use of the Platform is governed by the Gridheart Partner Terms (the "Partner Terms") and the documents that form part of them, including the Data Processing Terms, or by a signed agreement between Your organisation and Gridheart. These User Terms do not extend Gridheart's obligations under that agreement. If these User Terms conflict with it, that agreement prevails, except as set out in Section 7.

1.3 Authority. By accepting these User Terms, You confirm that You use the Platform on behalf of Your organisation and that You are authorised to do so.

    2. Your account

2.1 Personal account. Your account is personal. You must not share Your credentials or let anyone else use Your account.

2.2 Security. You must use multi-factor authentication, keep Your credentials and devices secure and notify Your organisation's administrator and support@gridheart.com immediately of any unauthorised use of Your account or any suspected security breach.

    3. Use of the Platform

3.1 Acceptable use. You must comply with the Gridheart Acceptable Use Policy and use the Platform only for Your organisation's business with Gridheart and its customers.

3.2 Actions. Actions You take in the Platform, including orders, changes in connected systems and changes in customers' environments, are taken on behalf of Your organisation.

3.3 Reports and AI. Reports, insights and output from AI Features are for information and may be inaccurate. You must review them before relying on them or passing them on.

    4. Personal data

4.1 Your account data. Gridheart processes personal data about You, such as Your name, email address, sign-in and audit logs and IP address, to provide and secure the Platform, as described in the Data Processing Terms between Gridheart and Your organisation and, where Gridheart acts as controller, in Gridheart's Privacy Policy.

4.2 Data You handle. Personal data that You handle in the Platform on behalf of Your organisation and its customers is processed by Gridheart under the Data Processing Terms between Gridheart and Your organisation.

    5. Logging

The Platform records actions taken by Users, with time, IP address and related details, for security, audit, support and legal purposes.

    6. Suspension and end of access

Gridheart may suspend or end Your access if You breach these User Terms, if Your organisation's access is suspended or ends, if Your organisation's administrator removes You, or where it is needed for security. Your access ends automatically when Your organisation's access to the Platform ends.

    7. Liability

Gridheart has no liability to You personally under these User Terms. All liability of Gridheart arising out of or relating to the Platform, whether towards Your organisation or any other person, is governed exclusively by Section 15 of the Partner Terms, including the cap in Section 15.1. This applies even where Your organisation has signed a separate agreement with Gridheart, unless that agreement expressly sets a different limitation of liability for the Platform. Nothing in these User Terms limits liability that cannot be limited under mandatory law.

    8. Changes

Gridheart may change these User Terms. Gridheart will announce material changes at least thirty (30) days before they take effect. If You continue to use the Platform after a change takes effect, You accept the change. Gridheart may also ask You to accept a new version in the Platform before You continue to use it.

    9. Governing law

These User Terms are governed by Swedish law. Disputes are resolved by the Swedish general courts, with Stockholm District Court as the court of first instance.
